Wholesale Terms of Trade

1. Definitions 1.1. "Supplier" refers to Dairy Beanz Coffee Roasters Ltd, trading as Dairy Beanz Coffee Roasters. 1.2. "Customer" refers to the individual, company, or entity purchasing goods from the Supplier. 1.3. "Goods" refer to coffee beans and related products supplied by the Supplier to the Customer.

2. General Terms 2.1. These Terms of Trade govern all wholesale transactions between the Supplier and the Customer. By placing an order, the Customer agrees to these Terms of Trade. 2.2. The Supplier reserves the right to amend these terms at any time. Changes will be communicated to the Customer and take effect for future transactions.

3. Orders 3.1. Orders must be placed in writing via email or through the Supplier's approved wholesale portal. 3.2. Minimum order quantities may apply and will be communicated to the Customer. 3.3. Orders are subject to acceptance by the Supplier and product availability. 3.4. All orders are final and cannot be cancelled once the order has been confirmed and the final invoice has been generated. 3.5. We do not accept return of unsold goods or changes of mind.

4. Pricing 4.1. All prices are quoted in New Zealand Dollars (NZD) and are exclusive of GST unless stated otherwise. 4.2. Prices listed online are inclusive of GST. 4.3. The Supplier reserves the right to adjust pricing due to market changes, including raw material costs. Price changes will be communicated to the Customer in advance.

5. Payment Terms 5.1. First-time trade or wholesale order invoices must be paid in full prior to the dispatch of stock. 5.2. Future orders will be invoiced on 7-day payment terms unless otherwise agreed in writing. 5.3. The Supplier reserves the right to charge interest on overdue payments at a rate of 1.5% per month. 5.4. The Customer is responsible for any bank charges, including those incurred for international payments.

6. Delivery 6.1. The Supplier will make reasonable efforts to meet delivery timelines but is not liable for delays outside its control. 6.2. Delivery charges will be outlined at the time of order and added to the invoice. 6.3. Risk in the Goods passes to the Customer upon delivery. Ownership of the Goods remains with the Supplier until full payment is received. 6.4. Claims for non-delivery must be reported immediately.

7. Returns and Claims 7.1. Claims for damaged or defective Goods must be made within 5 business days of delivery. 7.2. Returns will only be accepted if pre-authorized by the Supplier and must be returned in their original packaging. 7.3. Refunds or replacements for defective Goods are at the discretion of the Supplier.

8. Intellectual Property 8.1. The Supplier retains all intellectual property rights to its brand, logo, and product designs. The Customer is not permitted to reproduce or modify these without prior written consent.

9. Confidentiality 9.1. Both parties agree to keep confidential any information disclosed during the course of business, except where required by law or with prior written consent.

10. Limitation of Liability 10.1. The Supplier’s liability for any claim, whether in contract, tort, or otherwise, is limited to the replacement of Goods or refund of the purchase price. 10.2. The Supplier is not liable for indirect or consequential losses, including loss of profit or reputation.

11. Termination 11.1. Either party may terminate the agreement with 30 days' written notice. 11.2. The Supplier may terminate immediately if the Customer breaches these terms or becomes insolvent.

12. Governing Law 12.1. These Terms of Trade are governed by the laws of New Zealand. Any disputes will be resolved in the courts of New Zealand.

13. Force Majeure 13.1. The Supplier is not liable for failure to perform obligations due to events beyond its reasonable control, including natural disasters, strikes, or supply chain disruptions.

15. Acceptance of Terms 15.1. By placing an order, the Customer acknowledges they have read, understood, and agree to these Terms of Trade.
